4. Service Agreements

4.1 Project Scope

All projects will be governed by a separate Statement of Work (SOW) or Service Agreement that outlines specific deliverables, timelines, and payment terms.

4.2 Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete project requirements
  • Timely feedback and approvals
  • Providing necessary access to systems and resources
  • Making payments according to agreed terms

5. Payment Terms

5.1 Payment Schedule

Payment terms will be specified in individual project agreements. Generally:

  • Projects may require an upfront payment or deposit
  • Milestone-based payments may be established for larger projects
  • Final payment is due upon project completion and delivery

5.2 Late Payments

Late payments may result in project suspension and additional charges. RAJSHREE ENTERPRISES reserves the right to charge interest on overdue amounts.

6. Intellectual Property

6.1 Client IP

Clients retain ownership of their pre-existing intellectual property and content provided to RAJSHREE ENTERPRISES.

6.2 Developed IP

Upon full payment, clients will own the custom-developed software and applications. RAJSHREE ENTERPRISES retains rights to:

  • General methodologies and know-how
  • Reusable code components and frameworks
  • Tools and utilities developed independently

7. Confidentiality

RAJSHREE ENTERPRISES agrees to maintain confidentiality of all client information and will not disclose proprietary information to third parties without written consent.

8. Warranties and Disclaimers

8.1 Service Warranty

RAJSHREE ENTERPRISES warrants that services will be performed in a professional manner consistent with industry standards.

8.2 Disclaimer

Services are provided "as is" without warranty of any kind. RAJSHREE ENTERPRISES disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

RAJSHREE ENTERPRISES' liability shall not exceed the total amount paid by the client for the specific service. We shall not be liable for indirect, incidental, or consequential damages.

10. Support and Maintenance

Post-delivery support and maintenance services are available under separate agreements. Basic support may be included for a specified period as outlined in project agreements.

11. Termination

Either party may terminate services with written notice. Upon termination:

  • Client pays for work completed to date
  • RAJSHREE ENTERPRISES delivers completed work products
  • Confidentiality obligations continue

12. Force Majeure

RAJSHREE ENTERPRISES shall not be liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.

13. Governing Law

These terms shall be governed by the laws of Maharashtra, India. Any disputes shall be subject to the jurisdiction of courts in Thane, Maharashtra.

14. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. We comply with applicable data protection laws and regulations.

15. Website Usage

15.1 Acceptable Use

Users may not:

  • Use the website for unlawful purposes
  • Attempt to gain unauthorized access to systems
  • Interfere with website functionality
  • Upload malicious content or code
